Molino Cañuelas S.A.C.I.F.I.A, an Argentine sociedad anónima comercial industrial financiera, inmobiliaria y agropecuaria (the “Company”), proposes to issue and sell to the several underwriters listed in Schedule 1 hereto (the “Underwriters”), for whom you are acting as representatives (the “Representatives”), an aggregate of [·] Class B ordinary shares of the Company, par value AR$0.10 per share (the “Shares”), to be represented by American Depositary Shares (“ADSs”) , each ADS representing [·] Shares, and certain shareholders of the Company named in Schedule 2 hereto (the “Selling Shareholders”) propose to sell to the several Underwriters an aggregate of [·] Shares to be represented by ADSs (collectively, the “Underwritten ADSs”).
