To that end, Liberty Media and SpinCo have entered into a Reorganization Agreement, dated as of [·], 2014 (the “Reorganization Agreement”), pursuant to which various assets and businesses of Liberty Media and its subsidiaries have been, or will be, transferred to SpinCo and its subsidiaries.
