This Amended and Restated Employment Agreement (the “Agreement”), entered into on August 13, 2012 (the “Effective Date”), is made by and between Steve Newby (the “Executive”) and Summit Midstream Partners, LLC, a Delaware limited liability company (together with any of its subsidiaries and affiliates as may employ the Executive from time to time, and any successor(s) thereto, the “Company”).

This LIMITED PARTNERSHIP AGREEMENT (this “Agreement”), dated May 7, 2012, of SUMMIT MIDSTREAM PARTNERS, LP (the “Partnership”) is entered into by and between Summit Midstream GP, LLC, a Delaware limited liability company, as general partner of the Partnership (the “General Partner”), and Summit Midstream Partners, LLC, a Delaware limited liability company, as limited partner of the Partnership (the “Limited Partner”).

The above-named entities are sometimes referred to in this Agreement each as a “Party” and collectively as the “Parties.” Capitalized terms used herein shall have the meanings assigned to such terms in Article I.
