THIS PERFORMANCE RESTRICTED STOCK UNIT AGREEMENT (this “Agreement”) is made as of [June 2, 2011], by and between GT Solar International, Inc., a Delaware corporation (the “Company”), and «Employee» (“Employee”), in accordance with the 2008 Equity Incentive Plan of the Company, as the same may be amended from time to time (the “Plan”). Certain definitions are set forth in Section 7 of this Agreement.
