For good and valuable consideration, the undersigned Person, who has been designated as an Independent Manager of NuCO2 Funding LLC, a Delaware limited liability company (the “Company”), in accordance with the Amended and Restated Limited Liability Company Agreement of the Company, dated as of May 28, 2008, as it may be amended or restated from time to time (the “LLC Agreement”), hereby agrees as follows:
