CBS Corporation (“Employer” and, together with its subsidiaries, the “Company”), having an address at 51 West 52nd Street, New York, New York 10019, agrees to continue to employ you and you agree to accept such continued employment upon the following terms and conditions set forth in this agreement (this “Agreement”). The parties hereto acknowledge and agree that this Agreement supersedes your existing employment agreement between the Employer and you dated as of October 15, 2007, and as amended by the letter agreement between you and Employer, dated December 17, 2008 (the “Prior Agreement”).
