This Registration Rights Agreement (the “Agreement”) is made and entered into this 3rd day of March, 2008, among Computer Sciences Corporation, a Nevada corporation (the “Company”), and Banc of America Securities LLC, Barclays Capital Inc. and Merrill Lynch, Pierce, Fenner & Smith Incorporated, (collectively, the “Representatives”) as representatives of the several Purchasers named in Schedule A to the Purchase Agreement (the “Purchasers”).
