This Employment Agreement (the "Agreement") is made this 5th day of December, 2008, by and between Inovio Biomedical Corporation, a Delaware corporation (the "ParentCo"), Genetronics, Inc., a California corporation ("Genetronics") (ParentCo and Genetronics, together with their respective parents, subsidiaries and affiliates, collectively referred to as the "Company") and Michael Fons (the "Employee"), currently residing at 6043 De La Rosa Lane, Oceanside, California. The Company or Employee are sometimes referred to herein as "party" or collectively the "parties".
