This AGREEMENT AND PLAN OF MERGER (this "Agreement") is dated as of November 21, 2008 (the "Execution Date"), among KRATOS DEFENSE & SECURITY SOLUTIONS, INC., a Delaware corporation ("Parent"), DAKOTA MERGER SUB, INC., a Delaware corporation and a direct wholly-owned subsidiary of Parent ("Merger Sub"), and DIGITAL FUSION, INC., a Delaware corporation (the "Company").
