THIS AGREEMENT, entered into and effective as of the 15TH day of July, 1999 (the “Effective Date”) by and between TRISTRATA TECHNOLOGY, INC., a Delaware corporation having its principal place of business at 1105 North Market Street, Suite 1300, P.O. Box 8985, Wilmington, Delaware 19899 (hereinafter referred to as “LICENSOR”) and MDF Acquisition Corp. a Delaware corporation having a principal place of business at 10455 Pacific Center Court, San Diego, CA 92121, (hereinafter referred to as “LICENSEE”);

WHEREAS, Bioceutix, Inc. (“Bioceutix”), the successor to MDF Acquisition Corp., acquired from Allergan, Inc. certain rights of Allergan, Inc. pursuant to a license agreement with TriStrata Technology, Inc. (“TTI”) with an effective date of July 15, 1999 (the “July 15, 1999 License Agreement”); and

This PURCHASE AND SALE AGREEMENT (the “Agreement”), dated this 14th day of May, 1999 is entered into among MDF ACQUISITION CORP., a Delaware corporation (“Buyer”), ALLERGAN, INC., a Delaware corporation, and ALLERGAN SALES, INC., a California corporation (collectively, with Allergan, Inc., “Seller”).
