This Second Amended and Restated Limited Liability Company Agreement of Eagle Ventures LLC, a Marshall Islands limited liability company (the "Company"), is made as of June , 2005 by and among the individuals or entities listed under the heading "Kelso Members" on Schedule A hereto (each a "Kelso Member" and collectively, the "Kelso Members"), Sophocles Zoullas ("Zoullas"), Edward H. James ("James "), Claude Thouret ("Thouret"), Alan Ginsberg ("Ginsberg"), Intercontinental Shipping and Trading Corp. ("IST"), Maria Zoullas ("Maria "), George S. Kaufman ("Kaufman"), Jeffrey S.
