This Asset Purchase Agreement (the "Agreement") is entered into on December 11, 2004 (the "Effective Date"), by and between Accuray Incorporated, a California corporation (the "Buyer"), and American Science and Engineering, Inc., a Massachusetts corporation (the "Seller"). Buyer and Seller are collectively referred to herein as the "Parties."
