THIS EMPLOYMENT AGREEMENT (the "Agreement"), made this 5th day of July, 2004 (the "Effective Date") is entered into by UTI Corporation, a Maryland corporation with its principle place of business at 200 West Seventh Avenue, Collegeville, PA 19426 (the "Company"), and George R. This Non-Disclosure, Non-Solicitation, Non-Competition and Invention Assignment Agreement is made by and between UTI Corporation, a Maryland corporation (hereinafter referred to collectively with any of its subsidiaries as the "Company"), and George R. Trutza (the "Employee").
