This PURCHASE AND SALE AGREEMENT (“Agreement”) is entered into as of March 15, 2004, by and between CIRCLE K STORES INC., a Texas corporation (“Seller”), and DBNCF CIRCLE LLC, a Delaware limited liability company (“Buyer”). Buyer and Seller are from time to time referred to herein individually as a “Party”, and collectively as the “Parties.”
