WHEREAS, pursuant to the terms of that certain Securities Purchase Agreement, dated as of March 21, 2001 (the "Purchase Agreement"), by and among Warburg, Pincus Equity Partners, L.P., Warburg, Pincus Netherlands Equity Partners I, C.V., Warburg, Pincus Netherlands Equity Partners II, C.V., Warburg, Pincus Netherlands Equity Partners III, C.V. (collectively, the "Warburg Entities") and the Company, the Warburg Entities purchased from the Company 17,985,612 shares of 9% Series B Junior Convertible Redeemable Preferred Stock, par value $.0001 per share (the "Series B Preferred Stock"), of the Company and a warrant (the "Warburg Warrants") to purchase an aggregate of 2,500,000 shares of Common Stock of the Company, par value $.0001 per share (the "Common Stock"), at an exercise price of $8.25 per share; and
