THIS REGISTRATION RIGHTS AGREEMENT (this "Agreement") is made and entered into as of March 21, 2003, by and between MANDALAY RESORT GROUP, a Nevada corporation (the "Company") and MERRILL LYNCH & CO., MERRILL LYNCH, PIERCE, FENNER & SMITH INCORPORATED and BANC OF AMERICA SECURITIES LLC (the "Initial Purchasers").
