TENDER AND VOTING AGREEMENT (this "Agreement"), dated March 3, 2003, by and between Kinko's, Inc., a Delaware corporation ("Parent"), Kinko's Washington, Inc., a Washington corporation and a wholly owned subsidiary of Parent ("Sub"), and , an individual ("Stockholder").
