THIS SEPARATION AGREEMENT (this “Agreement”), is made between Ronald Lovelady (“Employee”) and Longs Drug Stores Corporation, a Maryland corporation (“Longs Corporation”), and Longs Drug Stores California, Inc., a California corporation (“Longs California” and, together with Longs Corporation, “Longs” or the “Company”) and will become effective upon the Effective Date set forth in Section 19.

THIS AGREEMENT is entered into as of the 30th day of October, 2002, by and between Warren F. Bryant (the “Executive”), Longs Drug Stores Corporation, a Maryland corporation (the “Parent”), and Longs Drug Stores California, Inc., a California corporation (the “Corporation”).
