This Participation Agreement (“Participation Agreement”) is entered into as of November 4, 2019 (the “Award Date”) by and between HERITAGE FINANCIAL CORPORATION (the “Company”) and CINDY HUNTLEY, an employee of the Company (the “Participant”).
