This Stock Purchase Agreement ("Agreement") is made and entered into as of July 19, 2000, by Chordiant Software, Inc., a Delaware corporation ("Chordiant"), White Spider Software, Inc., a Delaware corporation (the "Company"), and the persons whose names are set forth on Exhibit A to this Agreement (collectively, the "Sellers"). Certain capitalized terms used in this Agreement are defined in Exhibit B.
