THIS AGREEMENT is executed as of April _1st__, 2014, and effective as of May 1, 2014 (the "Effective Date"), by and among BLACKROCK VARIABLE SERIES FUNDS, INC. an open-end management investment company organized as a Maryland corporation (the "Fund"), BLACKROCK INVESTMENTS, LLC ("BRIL" or the "Underwriter"), a broker-dealer registered as such under the Securities Exchange Act of 1934, as amended (the "1934 Act"), GREAT-WEST LIFE & ANNUITY INSURANCE COMPANY, a life insurance company organized under the laws of the State of Colorado ("GWL&A"), on its own behalf and on behalf of each separate account of the Company set forth on Schedule A, as may be amended from time to time (each separate account hereinafter referred to individually as an "Account" and collectively as the "Accounts") and GREAT-WEST LIFE & ANNUITY INSURANCE COMPANY OF NEW YORK, a life insurance company organized under the laws of the State of New York ("GWL&A NY").
