This Third Amendment to 2000 EETC Restructuring and Forbearance Term Sheet Agreement (this “Third Amendment”) reflects amendments to the 2000 EETC Restructuring and Forbearance Term Sheet Agreement dated September 12, 2003, as amended by First Amendment to 2000 EETC Restructuring and Forbearance Term Sheet Agreement dated as of November 4, 2003 and as further amended by Second Amendment to 2000 EETC Restructuring and Forbearance Term Sheet Agreement dated as of December 15, 2003 (as amended, the “Term Sheet”), regarding the primary terms for the restructuring of the 2000 EETC transaction (the “2000 EETC Transaction”) involving ATLAS AIR, INC. (“Atlas” or the “Company”) and the holders of the A Certificates referred to in the Term Sheet (each an “A Holder” and collectively, the “A Holders”) pursuant to a pre-negotiated case under Chapter 11 of Title 11 of the United States Code, 11 U.S.C. § 101 et seq. (as amended from time to time, the “Bankruptcy Code”).
