This RESTRICTED STOCK UNIT AGREEMENT (this “Agreement”) is made pursuant to the previously adopted SBA Communications Corporation 2010 Performance and Equity Incentive Plan (as amended and restated, the “Plan”) and any successor incentive plan and is acknowledged by and between SBA Communications Corporation, a Florida corporation (the “Company”), and the participant (the “Participant”) specified on the award acceptance page (the “Award Acceptance Page”) of the equity plan administration system utilized by the Company (the “System”), effective as of the award date (the “Award Date”) specified on the Award Acceptance Page. The information set forth on the Award Acceptance Page and each Award Notice provided to the Participant is hereafter collectively referred to as the “Notice of Award”.
