THIS EMPLOYMENT AGREEMENT by and among KILROY REALTY CORPORATION, a Maryland corporation (the “Company”), Kilroy Realty, L.P., a Delaware limited partnership (the “Operating Partnership”) and John B. Kilroy, Jr. (“Executive”) effective as of January 1, 2007, is amended and restated as of January 1, 2012 (the “Effective Date”). This Employment Agreement (the “Agreement”), as amended, supersedes and replaces in its entirety Executive's employment agreement, dated as of January 1, 2007, with the Company and Operating Partnership, including any addendums thereto, and all other prior employment agreements with the Company and/or the Operating Partnership (the “Prior Employment Agreements”).

THIS NONCOMPETITION AGREEMENT (this "Agreement") is dated as of January 1, 2012, by and among Kilroy Realty Corporation, a Maryland corporation (“Kilroy), Kilroy Realty, L.P., a Delaware limited partnership (the “Operating Partnership”), and John B. Kilroy, Jr. (the "Executive"). Capitalized terms used herein but not otherwise defined herein shall have the meanings ascribed to them in the Employment Agreement.
