FOR VALUE RECEIVED, the undersigned, COLONIAL DOWNS, L.P., a Virginia limited partnership (herein called the "Borrower"), hereby promises to pay to the order of PNC BANK, NATIONAL ASSOCIATION, a national banking association (the "Bank") the lesser of (i) the principal sum of FIVE MILLION U.S. DOLLARS (U.S. $5,000,000), or (ii) the aggregate unpaid principal balance of all Loans made by the Bank to the Borrower pursuant to Section 1.1 of the Revolving Line of Credit Agreement dated as of June 26, 1997 between the Borrower and the Bank (the "Credit Agreement"), whichever is less, payable on the Expiration Date.
