This AGREEMENT FOR SHARE EXCHANGE (this “Agreement”) is entered into on November 14, 2008, by and among Technology Resources, Inc., a Florida corporation (“TGYR”), Shaka Shoes, Inc., a Hawaii company (“SHAKA”) and the shareholders of SHAKA, namely Tiffany William, Lynae Gambee, Trent Walters, and Brett Walters individually. Such shareholders collectively own 100% of the shares of SHAKA and are sometimes referred to herein collectively as the “Shareholders”.
