NOW THEREFORE THIS AGREEMENT WITNESSETH that for good and valuable consideration including the promises made between the parties in this Agreement, the receipt and sufficiency of which is hereby acknowledged by each of the parties, the parties hereby agree each with the other as follows:

Now, therefore, in consideration of the foregoing, the Company hereby grants to the Optionee the right and option to purchase shares of Common Stock of the Company under and pursuant to the terms and conditions of the Company’s 1999 Stock Option Plan (the “Plan”) and upon the following terms and conditions:

The Executive shall perform his daily work duties at the Company’s office in Stockholm or at any other Company office within Sweden as the Company may from time to time require. The Executive acknowledges that he is required to travel to such places (both domestic and international), as the performance of his duties under this agreement requires.

This Stock Purchase Agreement (this “Agreement”) is dated as of March 24, 2006 by and between Navtech Inc. (“Buyer” or “Company”) and John Bethanis (“Seller”).
