THIS AMENDED AND RESTATED TRUST DEED is made on 4th October, 2002 BETWEEN: WHEREAS:United Utilities PLC • June 9th, 2003 • Electric & other services combined • Luxembourg
establish a single Euro Medium Term Note Programme pursuant to which each of them may from time to time issue Notes as set out herein. Notes up to a maximum nominal amount (calculated in accordance with Clause 3(6) of the Programme Agreement (as defined below)) from time to time outstanding of Euro 4,000,000,000 (subject to increase as provided in the Programme Agreement) (the “Programme Limit”) may be issued pursuant to the said Programme.
