This SECOND AMENDMENT TO SECOND LIEN CREDIT AGREEMENT (this “Amendment”), dated as of March 24, 2014, is by and among Black Ridge Oil & Gas, Inc., a Nevada corporation (“Borrower”), the several banks and other financial institutions or entities party to this Amendment (the “Lenders”) and CHAMBERS ENERGY MANAGEMENT, LP, as the agent (in such capacity, the “Agent”) under the Credit Agreement (as defined below).
