This Agreement is made in connection with the issuance of a Note and a Warrant pursuant to a certain Securities Purchase Agreement by and between the Company and the Purchaser dated as of the date hereof (the “Securities Purchase Agreement”) and pursuant to the terms and conditions of the Company’s Confidential Private Placement Memorandum dated September 1, 2009, as supplemented by that certain Supplement No. 1 to Confidential Private Placement Memorandum dated January 22, 2010 (the “Memorandum”).

This Registration Rights Agreement (this “Agreement”) is made and entered into as of date set forth on the signature page hereto by and between Balqon Corporation, a Nevada corporation (the “Company”), and each purchaser identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively, the “Purchasers”) effective as of the date this Agreement is executed by the Company.
