This STOCK PURCHASE WARRANT AGREEMENT, dated as of October 13, 2010 (the “Effective Date”) is entered into by and between International Star, Inc., a Nevada corporation with its principal office located in Shreveport, Louisiana (the “Company”), and Beaird Operating Companies, LLC, a Louisiana limited liability company with its principal office located in Shreveport, Louisiana (“Grantee”).
