This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Employment Agreement”), executed on March 29, 2010 and effective as of April 1, 2010 (the “Effective Date”), is made by and between Integrated Healthcare Holdings, Inc., a Nevada corporation (the “Company”), and Kenneth K. Westbrook (“Executive” and, together with the Company, the “Parties”), and amends and restates in its entirety that certain Employment Agreement between the Parties effective as of December 1, 2008 (the “Original Agreement”).
