For good consideration, the Company continues to employ Andrew G. Sculley, Jr. on the following terms and conditions (the “Agreement”) as of the above date pursuant to this Amended and Restated Employment Agreement by and between EMAGIN CORPORATION, a Delaware corporation (the “Company”), and the above named executive (“Executive”). This Agreement amends and restates in its entirety the Executive Employment Agreement, dated as of June 1, 2011, by and between Company and Executive.

This Agreement amends and restates in its entirety the Executive Employment Agreement, dated as of May 8, 2012, by and between Company and Executive.
