This EXCLUSIVE DISTRIBUTION AGREEMENT is entered on 5th APRIL, 2011 by and between: (1) SKY UNICORN HOLDINGS LIMITED, a 51% owned subsidiary of Biofield Corporation (a public listed company in the United States), and is a company Incorporated in the British Virgin Islands and having its business office at Unit 5l l, 5/F., Block A, Ming Pao Industrial Centre, 18 Ka Yip Street, Chai Wan, Hong Kong ("the Company"); and (2) MCKINLEY INFOCAPITAL, Inc., a corporation registered in the United States of America with the registered address of head office at 468 N. Camden Dr. Beverly Hills, CA 90210, U.S.A. and Korean branch office at #1004, Trapalace,10-1,Sunae-dong, Bundang-Gu, Seongnam-Si, (the "Distributor").
