THIS SECURITY AGREEMENT, dated as of January 14, 2003, is entered into by and among WEST MARINE FINANCE COMPANY, INC., a California corporation (the “Company”), each other signatory to this Security Agreement (other than the Administrative Agent), each of the other entities which becomes a party hereto pursuant to Section 10.15 hereof (each of the foregoing, including the Company, a “Grantor” and collectively, the “Grantors”), and WELLS FARGO BANK, NATIONAL ASSOCIATION, as administrative agent (in such capacity, the “Administrative Agent”) for the financial institutions which are from time to time parties to the Credit Agreement referred to in Recital A below (collectively, the “Lenders”).

This CREDIT AGREEMENT (as amended, supplemented or otherwise modified from time to time, this “Agreement”) is entered into by and among WEST MARINE FINANCE COMPANY, INC., a California corporation (“Borrower”), each lender whose name is set forth on the signature pages of this Agreement and each lender that may hereafter become a party to this Agreement pursuant to Section 11.8 (each a “Lender” and collectively, “Lenders”), WELLS FARGO BANK, NATIONAL ASSOCIATION, as Administrative Agent and Arranger and UNION BANK OF CALIFORNIA, N.A., as Syndication Agent.
