THIS ASSIGNMENT AND ASSUMPTION is effective as of the 5th day of April, 2013 by and between JACK RABIN, in his capacity as Trustee under that certain Trust Indenture dated January 12, 2006 ("Assignor") and ALTAMETRICS XFORMITY, LLC ("Assignee").

THIS AGREEMENT TO ACCEPT COLLATERAL IN FULL SATISFACTION OF OBLIGATIONS (“Agreement”) is made and entered into, effective February ___, 2013 by and between JACK RABIN, in his capacity as Trustee under that certain Trust Indenture dated January 12, 2006 (“Rabin” or “Trustee”) on behalf of the holders (individually a “Lender” and collectively the “Lenders”) of 9% Secured Convertible Debentures (the “Debentures”) issued by XFORMITY TECHNOLOGIES, INC., a Colorado corporation and its wholly-owned subsidiary XFORMITY, INC., a Texas corporation (hereinafter collectively referred to as the “Debtor” or “Company”).
