THIS CERTIFIES that, for value received, _________________________________, or assigns (the "Holder"), is entitled, upon the terms and subject to the conditions hereinafter set forth, at any time on or after the date of issuance of this Warrant (the "Initial Exercise Date") and on or prior to the close of business on December 31, 2005 (the "Termination Date") unless sooner terminated in accordance with the Agreement as hereinbelow defined but not thereafter, to subscribe for and purchase from Global Casinos, Inc., a Utah corporation (the "Company"), up to ______________________________ (_______________) shares (the "Warrant Shares") of Common Stock, $.05 par value per share of the Company (the "Common Stock"). The purchase price of one share of Common Stock (the "Exercise Price") under this Warrant shall be $0.15. The Exercise Price and the number of shares for which the Warrant is exercisable shall be subject to adjustment as provided herein.

THIS AGREEMENT is made and entered into effective the 3rd day of January, 2005 (the "Effective Date"), between GLOBAL CASINOS, INC., a Utah corporation ("Global"), CASINOS U.S.A., INC. a Colorado corporation ("Casinos U.S.A.") and ASTRAEA INVESTMENT MANAGEMENT, L.P., assignor to BULL DURHAM, L.L.C. as Trustee (hereafter "Astraea").
