Fifth Amendment, dated as of May 6, 2024 (this “Amendment”), to the Credit Agreement dated as of May 31, 2017 (as amended by that certain First Amendment to Credit Agreement, dated as of October 4, 2019, that certain Second Amendment to Credit Agreement, dated as of June 15, 2020, that certain Third Amendment to Credit Agreement, date as of October 30, 2020, and that certain Fourth Amendment to Credit Agreement, dated as of June 23, 2023 (the “Existing Credit Agreement”), and as amended by this Amendment and as further amended, supplemented or otherwise modified from time to time, the “Credit Agreement”), among CARS.COM INC. (the “Borrower”), the SUBSIDIARY GUARANTORS party thereto, the lenders party thereto (the “Lenders”) and JPMORGAN CHASE BANK, N.A., as administrative agent (in such capacity, the “Administrative Agent”). JPMorgan is acting as sole lead arranger in connection with this Amendment (in such capacity, the “Fifth Amendment Lead Arranger”) and JPMorgan, Citizens Bank, N.A
