THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made as of May 15, 2023 by and among Achieve Life Sciences, Inc., a Delaware corporation (the “Company”), Silicon Valley Bank, a division of First-Citizens Bank & Trust Company, SVB Innovation Credit Fund VIII, L.P. and Innovation Credit Fund VIII-A, L.P. (each, a “Lender” and collectively, the “Lenders”).
