THIS CREDIT AGREEMENT (this “Agreement”) dated April 1, 2022, is by and between ADTRAN, INC. a Delaware corporation (“ADTRAN”), ADTRAN INTERNATIONAL, INC., a Delaware corporation (“International”; International and ADTRAN are collectively referred to herein as the “Borrower”), and WELLS FARGO BANK, NATIONAL ASSOCIATION (“Bank”).

FOR VALUE RECEIVED, the undersigned ADTRAN, INC., a Delaware corporation, and ADTRAN INTERNATIONAL, INC., a Delaware corporation (collectively referred to herein, on a joint and several basis, as "Borrower"), promise to pay to the order of WELLS FARGO BANK, NATIONAL ASSOCIATION ("Bank") at its office at 1901 6th Avenue North, 4th Floor, Birmingham, Alabama 35203 or at such other place as the holder hereof may designate, in lawful money of the United States of America and in immediately available funds, the principal sum of Twenty Five Million Dollars ($25,000,000.00), or so much thereof as may be advanced and be outstanding pursuant to the terms of the Credit Agreement, as defined herein, with interest thereon, to be computed on each advance from the date of its disbursement as set forth herein.
