LIMITED LIABILITY COMPANY OPERATING AGREEMENT OF SLM FUNDING LLC, a limited liability company organized pursuant to and in accordance with the Delaware Limited Liability Company Act (6 Del.C. Section 18-101, et seq.) (the “Act”), is dated as of January 1, 2003 and is entered into by the Student Loan Marketing Association, a corporation chartered by an act of the United States Congress, as the sole equity member, Domenic A. Borriello (“Springing Member 1”) and Kim E. Lutthans (“Springing Member 2”).
