In support of the obligations of the Borrower under the Borrower’s 2008 and 2009 underwriting years' letter of credit facility procurement agreements and capital stack arrangements with Talbot 2002 Underwriting Capital Ltd., Validus Holdings, Ltd., as Guarantor, and Talbot Holdings Ltd., as Borrower, enter into this Agreement.
