This Separation Agreement is made and entered into by and between Carl J. Johnson (“Executive”) and Matrixx Initiatives, Inc., and all of its affiliated companies and divisions (collectively referred to as the “Company”). All initially capitalized terms not otherwise defined herein will have the meaning ascribed to them in the Amended and Restated Employment Agreement, dated as of October 18, 2006, by and between the Company and Executive (the “Employment Agreement”).

This Release Agreement may be used to completely bar any action or suit before any court, arbitral, or administrative body with respect to any claim under federal, state, local or other law relating to this Release Agreement or to Executive’s employment and/or termination of his service as the President and Chief Executive Officer of the Company or any other positions held with its subsidiaries, affiliates, related entities, predecessors, parents or divisions.
