(the “Company”), pursuant to its 1998 Incentive Stock Plan (the “Plan”), hereby grants to Participant a right to receive the number of shares of the Company’s Common Stock set forth below on the terms and conditions of this Grant Notice, the Plan and the Restricted Stock Unit Award Agreement (the “Agreement”). The Restricted Stock Unit granted in this Grant Notice are subject to all of the terms and conditions as set forth herein and in the Agreement, the Plan and, the applicable provisions of any employment agreement between the Participant and the Company, if any.
