This Amended and Restated Supply Agreement (the “Agreement”) is entered into as of March 1, 2004, (the “Effective Date”), by and between THREE-FIVE SYSTEMS, INC. (on behalf of itself and all its worldwide affiliates, divisions, and subsidiaries, including, but not limited to, TFS Electronic Manufacturing Services, and TFS Electronic Manufacturing Services Sdn. Bhd.) (collectively the “Company”) and AVOCENT CORPORATION (on behalf of itself and its subsidiaries, Avocent-Redmond Corp., Avocent International Ltd., and Avocent-Huntsville Corp. (collectively, “Avocent”), and amends, restates, and supersedes that certain Amended and Restated Supply Agreement dated December 1, 2002 between ETMA Corporation and Avocent (the “Original Agreement”). Company and Avocent are each referred to as a “Party” and collectively as the “Parties.”
