This AGREEMENT AND PLAN OF MERGER (this “Agreement”) has been made as of August 14, 2008, by and among TRANSCAT, INC., an Ohio corporation (“Transcat”), TRANSCAT ACQUISITION CORP., an Oregon corporation and a direct wholly-owned Subsidiary of Transcat (“Merger Sub”), WESTCON, INC., an Oregon corporation (“Westcon”) and David Goodhead (the “Selling Shareholder”).
