THIS NOTE PURCHASE AGREEMENT (“Agreement”), dated as of the 21st day of September, 2007, is made and entered into on the terms and conditions hereinafter set forth, by and among ORION HEALTHCORP, INC., a Delaware corporation (the “Company”), PHOENIX LIFE INSURANCE COMPANY, a New York corporation (“Phoenix”), BRANTLEY PARTNERS IV, L.P., a Delaware limited liability company (“Brantley IV”) and TERRENCE L. BAUER, an individual residing in Georgia (“Bauer”). Each of Phoenix, Brantley IV and Bauer are referred to as an “Investor” and collectively as “Investors”.
