The J. M. SMUCKER COMPANY, an Ohio corporation with its principal place of business at Strawberry Lane, Orrville, Ohio 44667 (“JMS”), and Fred A. Duncan, 7771 East Santa Catalina Drive, Scottsdale, Arizona 85255 (“Consultant”), hereby agree as follows:

THIS AGREEMENT AND PLAN OF MERGER, is entered into as of the 31st day of March, 2007, among THE J.M. SMUCKER COMPANY, an Ohio corporation (“Parent”), EF ACQUISITION COMPANY, a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), EAGLE FAMILY FOODS HOLDINGS, INC., a Delaware corporation (the “Company”), and CRAIG STEINKE, as Stockholders’ Representative (as defined herein).
