THIS REGISTRATION RIGHTS AGREEMENT (the “Agreement” ) is made and entered into as of March 13, 2007 among DEVELOPERS DIVERSIFIED REALTY CORPORATION, an Ohio corporation (the “Company"), and Banc of America Securities LLC (“Banc of America”), J.P. Morgan Securities Inc. (“JPMorgan”) and Wachovia Capital Markets, LLC (“Wachovia” and, together with Banc of America and JP Morgan, the "Initial Purchasers”).
