THIS AMENDMENT NO. 2 (“Amendment”) is made as of June 7, 2006 by and among Res-Care, Inc., a Kentucky corporation (the “Borrower”), the financial institutions listed on the signature pages hereof (the “Lenders”) and JPMorgan Chase Bank, National Association (successor by merger to Bank One, NA (Main Office Chicago)), as Administrative Agent (the “Agent”), under that certain Amended and Restated Credit Agreement dated as of October 3, 2005 by and among the Borrower, the Lenders and the Agent (as amended, the “Credit Agreement”). Capitalized terms used herein and not otherwise defined herein shall have the respective meanings given to them in the Credit Agreement.
